This AI Employee Disclosure and Liability Disclaimer (the “AI Disclosure”) forms part of the CXO Legal Framework governing access to and use of artificial intelligence systems, automation tools, and AI agents marketed as “AI Employees” (collectively, the “AI Systems”) provided by COREXPERT OPERATIONS CORPORATION, an Ontario corporation carrying on business as CXO or CXO Corporation (“CXO”, “we”, “us”, or “our”).

By accessing or using the AI Systems, you acknowledge that you have read, understood, and agree to be bound by this AI Disclosure.

1. NATURE OF AI SYSTEMS

AI Systems provided by CXO, including AI Employees, are software-based tools designed to perform automated or semi-automated tasks, including communication, workflow execution, data processing, and decision-support functions.

You acknowledge and agree that:

• AI Systems are not human employees, agents, or fiduciaries

• AI Systems do not provide professional advice

• AI Systems do not have independent legal capacity

• AI Systems operate as software tools subject to probabilistic computation

 2. PROBABILISTIC OUTPUTS AND HALLUCINATION RISK

You expressly acknowledge that:

(a) AI Systems operate using probabilistic machine learning models;
(b) outputs are generated based on statistical inference and may be incorrect, incomplete, outdated, or misleading;
(c) AI Systems may produce hallucinated or fabricated outputs;
(d) outputs may vary depending on model updates, provider changes, or system modifications;
(e) outputs are not verified, validated, or guaranteed by CXO;

CXO does not warrant the accuracy, reliability, or completeness of any output generated by AI Systems.

3. NO RELIANCE AND HUMAN OVERSIGHT REQUIREMENT

You agree that:

• AI outputs are provided for informational and operational assistance only

• AI outputs must not be relied upon without independent human review

• all decisions based on AI outputs are your sole responsibility

• CXO is not responsible for any action taken or not taken based on AI outputs

You further acknowledge that AI Systems are not intended to replace professional judgment, compliance review, or human decision-making.

4. THIRD-PARTY MODEL DEPENDENCIES

AI Systems rely on third-party large language model providers and infrastructure providers, including but not limited to:

• OpenAI

• Anthropic

• Google

• AWS, Microsoft Azure, Google Cloud

• CRM, automation, and integration providers (including GoHighLevel or equivalents)

You acknowledge and agree that:

• CXO does not control third-party model behavior

• third-party providers may modify, suspend, or discontinue services at any time

• AI System outputs may be materially affected by third-party systems outside CXO’s control

• CXO is not responsible for third-party model training, updates, or output behavior

 5. AUTOMATED DECISION-MAKING DISCLOSURE

Where AI Systems are used in workflows that involve automation or decision-support:

• AI Systems may generate recommendations or outputs without human intervention

• such outputs do not constitute binding decisions

• final decision-making authority remains with the user or client

• CXO does not assume responsibility for outcomes resulting from automated processes

 6. DATA INPUT RESPONSIBILITY

You are solely responsible for all data, inputs, prompts, instructions, and materials provided to AI Systems.

You represent and warrant that:

• you have lawful authority to provide such data

• such data does not infringe third-party rights

• such data complies with applicable laws and regulations

CXO does not monitor or verify user-provided inputs.

7. OUTPUT OWNERSHIP AND USE

Subject to applicable agreements:

• AI outputs may be used by you at your own risk

• CXO does not guarantee exclusivity, originality, or non-infringement of outputs

• outputs may be similar or identical to outputs generated for other users

 8. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AI SYSTEMS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

CXO DISCLAIMS ALL WARRANTIES, INCLUDING:

• accuracy

• fitness for purpose

• reliability

• non-infringement

• uninterrupted operation

CXO expressly disclaims all liability arising from reliance on AI System outputs.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law:

CXO shall not be liable for any damages arising out of or relating to:

• use of AI Systems

• reliance on AI outputs

• automated decision-making

• third-party model behavior or outages

• incorrect, incomplete, or hallucinated outputs

In all cases, CXO’s aggregate liability shall be limited in accordance with the applicable CXO Terms of Use or governing agreement.

10. INDEMNIFICATION

You agree to indemnify and hold harmless CXO from any claims, damages, liabilities, or expenses arising from:

• use or misuse of AI Systems

• reliance on AI outputs

• violation of applicable law

• provision of unlawful or infringing input data

• integration with third-party systems

 11. SUSPENSION AND MODIFICATION

CXO may modify, suspend, or discontinue AI Systems at any time without liability, including where required due to:

• third-party model changes

• legal or regulatory requirements

• operational or security concerns

 12. ORDER OF PRECEDENCE

In the event of any conflict between this AI Disclosure and any other CXO Legal Framework document:

• this AI Disclosure shall govern solely with respect to AI Systems and AI outputs

• CXO Terms of Use shall govern all other matters

• Privacy Policy and Cookie Policy apply to data processing matters

• mandatory applicable law prevails in all cases
